END USER LICENSE AGREEMENT (EULA) FOR DIGITAL AUDIO DOWNLOADS

Effective Date: 23rd October 2023

This End-User License Agreement (“EULA”) is a legal agreement between you and Dale Price.

PLEASE READ THIS EULA AGREEMENT CAREFULLY BEFORE COMPLETING THE INSTALLATION PROCESS AND USING THE AUDIO DOWNLOADS.  IT PROVIDES A LICENSE TO USE THE DIGITAL AUDIO DOWNLOAD(S) AND CONTAINS WARRANTY INFORMATION ABOUT LIABILITY DISCLAIMERS.

By clicking the check box or installing/downloading and/or using the digital audio download(s), you are confirming your acceptance of the digital audio download(s) and agreeing to become bound by the terms of this EULA agreement.

  1. License Grant

1.1. License: Subject to the terms and conditions of this Agreement, Dale Price (“Licensor”) grants You (“Licensee”) a non-exclusive, non-transferable, revocable license to use the digital audio downloads (“Downloads”) for personal, non-commercial purposes.

  1. Copyright Notice

2.1. Ownership: The Downloads are protected by copyright and are the property of Licensor. All rights not expressly granted are reserved by Licensor.

  1. Restrictions of Use

3.1. Limitations: Licensee may not:

  1. Modify, reproduce, or distribute the Downloads for any commercial purposes without explicit written permission from Licensor. 
  2. Use the Downloads for any unlawful or infringing purpose. 
  3. Remove or alter any copyright, trademark, or other proprietary notices contained in the Downloads.
  4. Allow any third party to use the audio download on behalf of or for the benefit of any third party.
  5. Use of the download in any way which breaches any applicable local, national, or international law.
  6. Termination of License

4.1. Termination: This license is effective until terminated. Licensor may terminate this license at any time for breach of this Agreement. Upon termination, Licensee must cease all use and destroy all copies of the Downloads.

  1. Limitations of Liability

6.1. No Warranty: The Downloads are provided “as is” without any warranty. Licensor disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2. Limitation of Liability: In no event shall Licensor be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or use, arising out of the use or inability to use the audio Downloads.

  1. Jurisdiction and Mediation

7.1. Jurisdiction: This Agreement is governed by and construed in accordance with the laws of the state of California.

7.2. Mediation: Any dispute or claim arising out of or in connection with this Agreement, including disputes regarding its existence, validity, or termination, shall be subject to mediation. If the dispute cannot be resolved through mediation within 90 days, either party may pursue legal action in accordance with California law.
